THE FOLLOWING AGREEMENT IS ACCEPTED BY DOWNLOADING OR USING THE NAFSA CORE EDUCATION PROGRAM WORKSHOP CURRICULUM MATERIALS. IF YOU DO NOT AGREE TO THESE TERMS, YOU SHOULD NOT DOWNLOAD OR USE THE WORKSHOP CURRICULUM MATERIALS.
For purposes of conducting its Core Education Program (CEP) workshops, NAFSA: Association of International Educators (“NAFSA”) has developed certain NAFSA materials, such as a trainer guide, a participant manual, a PowerPoint presentation, and other print, electronic, digital, visual, and other aids (“Workshop Curriculum Materials”), and trains volunteers to deliver the CEP workshops using the Workshop Curriculum Materials. As a volunteer trainer delivering one of NAFSA’s CEP workshops and in exchange for participating in the program and receiving and accessing the Workshop Curriculum Materials via the Web, you accept and agree to the following terms and conditions, which constitute a binding agreement, made in Washington, DC, between NAFSA and you:
- Subject to and in compliance with the terms of this Agreement, you are authorized by NAFSA to print for preparation purposes and to use the Workshop Curriculum Materials to deliver the specific CEP workshop at the specific date and time determined by you and NAFSA. You may not otherwise print, copy, reproduce, distribute, or use the Workshop Curriculum Materials, sublicense or transfer your right to use the Workshop Curriculum Materials to any third party, create derivative works based on the Workshop Curriculum Materials, or otherwise commercially exploit the CEP workshop, the Workshop Curriculum Materials, or any material derived or adapted from the CEP workshop, except with the prior written permission of NAFSA.
- While NAFSA grants you the nonexclusive and limited right to use the Workshop Curriculum Materials solely for purposes of conducting the specific CEP workshop as set forth in this Agreement, you acknowledge that NAFSA is the sole and exclusive owner of the entire copyright, trademark, and other proprietary rights in and to the CEP workshop and the Workshop Curriculum Materials. All uses of the Workshop Curriculum Materials are subject to the copyright and trademark notices contained in them.
- If you use or distribute the Workshop Curriculum Materials in violation of the terms of this Agreement, this Agreement shall become invalid and shall terminate without notice to either party. In addition, this Agreement will terminate automatically on completion of your delivery of the CEP workshop. On termination, you no longer will have any authorization or right to conduct the CEP workshops or to print or use the Workshop Curriculum Materials.
- NAFSA and you are not partners, joint venturers, agents or in any employee/employer relationship. This Agreement constitutes the entire agreement between you and NAFSA, and supersedes any prior agreements concerning the Workshop Curriculum Materials or any prior provisions of them. There are no other agreements, oral or written, which supersede or control this Agreement. This Agreement can be changed only in writing and by the mutual consent of you and NAFSA. This Agreement shall be governed by and construed under the laws of the District of Columbia, without reference to conflict of law principles. Both parties agree to submit to personal jurisdiction in the District of Columbia and further agree that any cause of action arising under this Agreement shall be brought exclusively in a court in the District of Columbia. The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement shall not be construed as a waiver of any breach of that provision or of any other provision.
AS INDICATED ABOVE, YOU ACCEPT THIS AGREEMENT BY DOWNLOADING OR USING THE WORKSHOP CURRICULUM MATERIALS COVERED BY THIS AGREEMENT.
