For purposes of conducting itsManagement Development Program (MDP), NAFSA: Association of International Educators (“NAFSA”) has developed certain NAFSA materials, such as a trainer guide, a participant manual, a PowerPoint presentation, and other print, electronic, digital, visual, and other aids (“MDP Curriculum Materials”), and trains volunteers to deliver the MDP using the MDP Curriculum Materials. As a volunteer trainer delivering a NAFSA MDP and in exchange for participating in the program and receiving and accessing the MDP Curriculum Materials via the Web, you accept and agree to the following terms and conditions, which constitute a binding agreement, made in Washington, DC, between NAFSA and you:

  1. Subject to and in compliance with the terms of this Agreement, you are authorized by NAFSA to print for preparation purposes and to use the MDP Curriculum Materials to deliver the MDP at the specific date and time determined by you and NAFSA. You may not otherwise print, copy, reproduce, distribute, or use the MDP Curriculum Materials, sublicense or transfer your right to use the MDP Curriculum Materials to any third party, create derivative works based on the MDP Curriculum Materials, or otherwise commercially exploit the MDP, the MDP Curriculum Materials, or any material derived or adapted from the MDP, except with the prior written permission of NAFSA.
  2. While NAFSA grants you the nonexclusive and limited right to use the MDP Curriculum Materials solely for purposes of conducting the specific MDP as set forth in this Agreement, you acknowledge that NAFSA is the sole and exclusive owner of the entire copyright, trademark, and other proprietary rights in and to the MDP and the MDP Curriculum Materials. All uses of the MDP Curriculum Materials are subject to the copyright and trademark notices contained in them.
  3. If you use or distribute the MDP Curriculum Materials in violation of the terms of this Agreement, this Agreement shall become invalid and shall terminate without notice to either party. In addition, this Agreement will terminate automatically on completion of your delivery of the MDP. On termination, you no longer will have any authorization or right to conduct the MDP or to print or use the MDP Curriculum Materials.
  4. NAFSA and you are not partners, joint venturers, agents or in any employee/employer relationship. This Agreement constitutes the entire agreement between you and NAFSA, and supersedes any prior agreements concerning the MDP Curriculum Materials or any prior provisions of them. There are no other agreements, oral or written, which supersede or control this Agreement. This Agreement can be changed only in writing and by the mutual consent of you and NAFSA. This Agreement shall be governed by and construed under the laws of the District of Columbia, without reference to conflict of law principles. Both parties agree to submit to personal jurisdiction in the District of Columbia and further agree that any cause of action arising under this Agreement shall be brought exclusively in a court in the District of Columbia. The failure of either party to this Agreement to insist upon the performance of any of the terms and conditions of this Agreement shall not be construed as a waiver of any breach of that provision or of any other provision.
As indicated, you accept this agreement by downloading or using the MDP curriculum materials covered by this agreement.
